These Terms of Service (“Terms”) govern your access to and use of the Custal customer portal (“Portal”, “Service”) operated by Didov Limited trading as ReadyToday (“we”, “us”, “our”), a company registered in the United Kingdom. By accessing or using the Portal, you agree to be bound by these Terms.
1. About the Service
Custal is a business-to-business (B2B) customer portal that enables our clients to manage their commercial relationship with Didov Limited trading as ReadyToday. Through the Portal you may:
- View and approve or reject quotes
- View and pay invoices online
- Track contracts, deliveries, and subscriptions
- Submit requests for new quotes
- Access AI-powered customer support
- Manage your company profile and user accounts
2. Eligibility and Account Registration
The Portal is intended for use by businesses and their authorised representatives. By registering for an account, you represent that:
- You are at least 18 years of age.
- You have the authority to bind the organisation you represent.
- The information you provide during registration is accurate, complete, and current.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised access.
3. User Roles and Access
The Portal supports role-based access. When you register a company, you are assigned the Owner role. You may invite additional users and assign them Viewer, Editor, or Owner roles. You are responsible for the actions of all users you grant access to your company account.
4. Quotes, Invoices, and Payments
Quotes provided through the Portal are valid for the period stated on each quote. Approving a quote constitutes acceptance of its terms and pricing. Once approved, a quote may be converted to an invoice.
Invoices are payable within the payment terms specified on each invoice (typically 14 days unless otherwise agreed). Payments are processed securely through Stripe. By making a payment through the Portal, you also agree to Stripe’s terms of service.
All prices displayed on the Portal are in GBP and are exclusive of VAT unless otherwise stated. VAT is calculated and shown separately where applicable.
5. AI Support Chat
The Portal includes an AI-powered support chat feature. This feature is provided for informational and convenience purposes only. Please note:
- AI-generated responses do not constitute legally binding confirmations, contracts, quotes, or commitments.
- The AI assistant has access to your account information (quotes, invoices, contracts, deliveries, and subscriptions) to provide contextual assistance.
- You may escalate any matter to our human support team at any time.
- We do not guarantee the accuracy or completeness of AI-generated responses.
6. Acceptable Use
You agree not to:
- Use the Portal for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorised access to any part of the Portal, other accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the Portal.
- Use automated scripts, bots, or scrapers to access the Portal without our prior written consent.
- Misuse the AI support chat by submitting harmful, abusive, or misleading inputs.
7. Intellectual Property
All content, design, logos, and software comprising the Portal are the property of Didov Limited trading as ReadyToday or its licensors and are protected by applicable intellectual property laws. You may not reproduce, modify, or distribute any part of the Portal without our prior written consent.
You retain ownership of any data you submit to the Portal (such as company information, quote requests, and support messages). You grant us a licence to use this data solely for the purpose of providing and improving the Service.
8. Service Availability
We aim to keep the Portal available at all times but do not guarantee uninterrupted access. We may suspend or restrict access for maintenance, updates, or reasons beyond our control. We will endeavour to provide advance notice of planned downtime where practicable.
9. Limitation of Liability
To the maximum extent permitted by law:
- The Portal is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Portal.
- Our total liability in connection with the Portal shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited by English law.
10. Termination
We may suspend or terminate your access to the Portal at any time if you breach these Terms or for any other reasonable cause, with or without notice. You may request account closure at any time by contacting us at [email protected].
Upon termination, your right to access the Portal ceases immediately. We may retain your data as required by law or legitimate business purposes (such as invoicing records) in accordance with our Privacy Policy.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you via the Portal or by email. Your continued use of the Portal after such notification constitutes acceptance of the updated Terms.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
